WordPress Foundation Directors: Mark Ghosh, and Matt Mullenweg

1. Call to Order

The meeting was called to order by Matt Mullenweg. Directors were welcomed, and it was noted that minutes would be distributed after the meeting.

2. Review of Foundation Financials and Audit

* The board reviewed the combined audited financial statements.

* The annual financial post ( [link removed] ) was prepared and shared with the board.

3. Tax Filings and Financial Results

* The 2024 Foundation (WPF) tax filing showed contributions of $55,000 and major expenses, including a $100,000 donation to Internet Archive and a $14,000 legal retainer.

* The 2024 WPCS tax filing reflected net taxable income of $377,420, with a federal tax liability of $47,894 and state/franchise taxes of $8,285.

* The 2023 taxable loss offset 2024 income for tax purposes.

4. 2025 Financials to Date

* As of April 17, 2025, WPCS JPM account balance: $2,086,073; WPF JPM account balance: $141,746.

* WPF received $8,600 in donations so far in 2025.

* WPCS secured $760,000 in 2025 Global Sponsorships.

5. Resolutions

* The board discussed updating account signors and QuickBooks Online admins due to leadership changes.

* Board-approved resolutions are required for these changes.

6. Banking Situation

* Updates on efforts to reduce banking fees and explore new investment and banking options were presented, including discussions with JPMorgan, Charles Schwab, and Revolut.

7. Adjournment

There being no further business, the meeting was adjourned.
